CONSTITUTION AND BY-LAWS
GOLDEN TRIANGLE HUMAN RESOURCE ASSOCIATION
ARTICLE I – IDENTIFICATION
Section 1
: NAME: The name of the organization shall be Golden Triangle Human Resource Association (GTHRA).Section 2: NATIONAL AFFILIATION: Golden Triangle Human Resource Association, hereinafter referred to as the Chapter, shall be affiliated with the Society for Human Resource Management (SHRM), formerly A.S.P.A.
ARTICLE II – PURPOSES
The purposes of the Chapter will be as follows:
ARTICLE III – MEMBERSHIP
The GTHRA Bylaws provides for five classes of membership:
Section 1:
PROFESSIONAL MEMBER: Individuals engaged in the profession of human resource management who either:The rights and privileges of professional members include the right to vote and hold office in the Society; however, consultants may not hold the national elective office of chairman or vice-chairman.
Section 2: GENERAL MEMBER: Individuals engaged in the profession of human resource management, at the exempt level, but who do not meet the requirements for Professional Member.
Members of this class have the right to vote but may not hold elective office in the Society.
Section 3: ASSOCIATE MEMBER: Individuals in non-exempt human resource management positions as well as those who do not meet any of the foregoing categories but who demonstrate a bona fide interest in human resource management and the purposes of the Society. Associate members will have no vote and may not hold office in the Society.
Section 4: RETIRED MEMBER: Any member in good standing at the time of retirement from any firm, organization or institution may become a Retired Life Member by meeting the eligibility requirements and the payment of a one-time dues fee to SHRM.
Section 5: LOCAL MEMBERSHIP: These members shall be confined to those persons actively engaged in personnel work who devote a reasonable amount of their time to personnel, industrial relations, and human resource management, or full professional rank in personnel or industrial relations or their specialized phases at an accredited college or university. Reasonable amount of time above shall be determined by the current GTHRA Board of Directors. SHRM National dues for a Professional Member shall include membership in the local chapter. Local members will have no vote and may not hold office in the Society; however, they are eligible to vote and hold office in the Chapter. Succession to membership is not permissible.
Section 6: APPLICATION FOR MEMBERSHIP: Application for membership shall be in writing on a form provided by SHRM or the Chapter. Members may belong to the local chapter or SHRM.
Section 7: MEMBERSHIP APPROVAL: All membership shall be approved by the Chapter Board of Directors.
Section 8: TERMINATION OF MEMEBRSHIP: Membership of the Chapter may be terminated for good cause by a two-thirds vote of the Board of Directors. Membership shall be terminated automatically for non-payment of annual dues.
Section 9: ANNUAL DUES: Annual dues shall become payable on a yearly basis. The amount of National dues shall be determined by SHRM and local membership dues will be determined by the Chapter and will not constitute membership in SHRM.
ARTICLE IV – MEETINGS
Section 1: REGULAR MEETINGS: Regular meetings shall be held monthly at such times and places as the Board of Directors may designate. Meetings may be omitted by a resolution of the Board of Directors.
Section 2: NOTICE OF MEETINGS: A notice of all meetings shall be sent to all members at least five days prior to the meetings.
Section 3: QUORUM: A majority of the Chapter members shall constitute a quorum.
ARTICLE V – ELECTIONS
Section 1: OFFICERS AND DIRECTORS: Elections of Officers and Directors shall be conducted in accordance with the procedures outlined:

ARTICLE VI – BOARD OF DIRECTORS
Section 1: NUMBER: The following shall be members of the Board of Directors: the President, Vice-President, Secretary/Treasurer, and the Program Coordinator.
Section 2: QUORUM: A majority of the total Board membership constitutes a quorum for the transaction of business. The act of a majority of the Directors shall be an act of the Board.
ARTICLE VII – OFFICERS
Section 1: NUMBER: The officers of the Chapter, who shall be elected except as otherwise specified herein, shall be the President, the Vice-President, the Secretary, the Treasurer, and the Program Coordinator. Officers shall rank in the order named.
Section 2: QUALIFICATION: All candidates for office, officers and directors, must be qualified Members of the Chapter in good standing.
Section 3: ELECTION-TERM OF OFFICE: All officers shall be chosen as provided in these By-Laws. Elected officers shall assume office in the month following their election. They shall hold office for one year or until death, resignation, or removal. No person elected as President shall be eligible for re-election to said office for the next term. The office of Vice-President shall succeed the office of President for the next term.
Section 4: VACANCIES: Vacancies shall be filled by the Officers next in line or, subject to approval by membership as outlined in Article V, by appointment of the Board of Directors.
ARTICLE VIII – DUTIES AND RESPONSIBILITIES
Section 1: THE PRESIDENT: The President shall preside at the meeting of the Chapter and the Board. The President shall have general charge and supervision of the affairs and business of the Chapter.
Section 2: THE VICE-PRESIDENT: The Vice-President, at the request of the President, or in the absence or disability of the President, may perform any of the duties of the President. The Vice-President shall have other powers and perform such other duties as the Board or the President may determine.
Section 3: THE SECRETARY: The Secretary shall be responsible for the arrangement for Chapter meetings and preparation of records for any required Board proceedings and any other business meeting of the Chapter.
In addition, this office shall include financial reports for the Board and coordinate arrangements for the annual examination and audit of the accounts. The Secretary/Treasurer shall also perform such other duties as the President may determine.
Section 4: THE PROGRAM COORDINATOR: The Program Coordinator shall be responsible for acquiring and making necessary arrangements for monthly meeting programs suitable and informative to the chapter members needs.
ARTICLE IX – STANDING COMMITTEES
Committees shall be appointed as the President as necessary. The Committee members shall elect the Committee Chairman.
ARTICLE X – PARLIAMENTARY PROCEDURE
All parliamentary procedure shall be governed by Roberts Rules of Order unless otherwise specified in the By-Laws
ARTICLE XI – AMENDMENTS OF BY-LAWS
The By-Laws may be amended by a two-thirds affirmative vote of the membership, provided that notice of the proposed amendment is submitted in writing to the membership at the meeting prior to the meeting at which the vote is taken.
